Terms of Service
These Terms of Service govern your access to and use of SpiderCRM, a product of Spider India, and any related
services provided by Spider India. By accessing or using SpiderCRM, you agree to comply with and be bound by
these terms.
1. Definitions
- SpiderCRM: A Customer Relationship Management (CRM) solution developed by Spider India to
streamline sales processes and customer engagement.
- Spider India: The parent company and service provider for SpiderCRM and related solutions.
- Administrator Account: An account with permissions to configure and manage SpiderCRM
settings.
- User Account: An account created for individuals authorized to access and use SpiderCRM.
- Customer: The entity subscribing to SpiderCRM and agreeing to these terms.
2. User Registration
- Customers must provide accurate, up-to-date information during registration.
- Each user account is intended for a single individual and cannot be shared.
- Customers are responsible for managing and monitoring their user accounts and ensuring compliance with these
terms.
3. Subscription Plans
Plan Options:
- Monthly Plan: A subscription lasting one calendar month, automatically renewing unless
canceled.
- Annual Plan: A subscription lasting one year, automatically renewing unless canceled.
Subscription Start Date:
- Subscriptions commence on the first day of the calendar month following the conclusion of the agreement.
Modifications:
- Subscription plans can be upgraded or downgraded. Changes will take effect at the next billing cycle.
4. Fees and Payments
- Subscription fees depend on the chosen plan and number of user accounts.
- Payments must be made as per the agreed schedule using the specified payment methods.
- Late payments may result in service suspension or termination.
- Spider India reserves the right to revise subscription fees with at least 30 days’ notice to customers.
5. Usage Rights and Restrictions
- Customers are granted non-exclusive, non-transferable access to SpiderCRM for internal business use.
- Users must not:
- Share login credentials.
- Use SpiderCRM for unlawful activities.
- Attempt to reverse-engineer or tamper with the software.
6. Trial Use
- SpiderCRM may be provided on a trial basis for evaluation.
- Customers must subscribe to a paid plan before the trial ends to retain access to features and data.
- Data stored during the trial period may be deleted if a subscription is not initiated.
7. Data Privacy
- Spider India processes customer data in accordance with its Privacy Policy.
- Customers retain ownership of all data uploaded to SpiderCRM.
- Spider India may access customer data only for troubleshooting, service improvement, or compliance with
legal requirements.
8. Termination
Termination by the Customer:
- Customers can terminate their subscription by following the specified procedures. Termination takes effect
at the end of the billing cycle, and no refunds will be issued for unused portions.
Termination by Spider India:
- Spider India may suspend or terminate services for:
- Breach of these terms.
- Failure to pay subscription fees.
- Misuse of SpiderCRM.
9. Limitation of Liability
9.1 THE MAXIMUM AGGREGATE LIABILITY OF Spider India IN RELATION TO SPIDERCRM AND RELATED
SERVICES SHALL NOT EXCEED THE SUBSCRIPTION FEE FOR THE MONTH IN WHICH DAMAGES ARE INCURRED. Spider India IS NOT
LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS,
BUSINESS INTERRUPTION, OR DATA LOSS, ARISING FROM THE USE OR INABILITY TO USE SPIDERCRM.
9.2 CUSTOMERS MUST INDEMNIFY Spider India AGAINST DAMAGES CAUSED BY THEIR MISUSE OF SPIDERCRM OR
VIOLATION OF THESE TERMS.
9.3 ANY DISPUTES BETWEEN CUSTOMERS AND THIRD PARTIES ARISING FROM THE USE OF SPIDERCRM MUST BE
RESOLVED BY THE CUSTOMER. Spider India WILL NOT INTERVENE OR ASSUME RESPONSIBILITY IN SUCH DISPUTES.
10. Service Availability
- Spider India strives to ensure uninterrupted access to SpiderCRM but does not guarantee 100% uptime due to
maintenance or unforeseen issues.
- Customers will be notified of scheduled maintenance.
11. Refund Policy
- Subscription fees are non-refundable unless explicitly stated.
- Refunds may be issued if Spider India discontinues SpiderCRM services.
12. Amendments
- Spider India reserves the right to modify these terms. Customers will be notified of changes, and continued
use of SpiderCRM constitutes acceptance of the revised terms.
13. Governing Law
- These terms are governed by the laws of Jurisdiction of India.
- Any disputes shall be resolved through arbitration or courts located in Chennai, Tamilnadu, India.
